This agreement describes the entire terms and conditions for participation in the Residon.com Affiliate Program and pertains to the reselling of Affiliate Store Paid Services.
1. Definitions
- "Service Provider" or otherwise mentioned "we", "our", "us" means Ancodia network.
- "Website" or "Site" means this web site, as hosted on elfkar.residon.com domain, including HTML pages and code, javascripts, multimedia content (such as animation, sound and graphics), documentation, software, and all included files supplied by Publisher, whether on disk, in read only memory, or on any other media.
- "Services" means all functions provided by this Site, and any meaningful output (such as web pages and files) generated by this Site.
- "Affiliate" means you (the applicant). Wherever the agreement refers to "you" or "your", it means the "Affiliate".
- "Affiliate Store" or "Product" means clone of this Site accompanying Affiliate's unique id.
2. Affiliate Agreement
- EVERY EFFORT HAS BEEN MADE TO ACCURATELY REPRESENT THIS PRODUCT AND IT'S POTENTIAL. EVEN THOUGH THIS INDUSTRY IS ONE OF THE FEW WHERE ONE CAN WRITE THEIR OWN CHECK IN TERMS OF EARNINGS, THERE IS NO GUARANTEE THAT YOU WILL EARN ANY MONEY USING THE TECHNIQUES AND IDEAS IN THESE MATERIALS. YOUR LEVEL OF SUCCESS IN ATTAINING THE RESULTS CLAIMED IN OUR MATERIALS DEPENDS ON THE TIME YOU DEVOTE TO THE PROGRAM, IDEAS AND TECHNIQUES MENTIONED, YOUR FINANCES, KNOWLEDGE AND VARIOUS SKILLS. SINCE THESE FACTORS DIFFER ACCORDING TO INDIVIDUALS, WE CANNOT GUARANTEE YOUR SUCCESS OR INCOME LEVEL. NOR ARE WE RESPONSIBLE FOR ANY OF YOUR ACTIONS.
- MATERIALS IN OUR PRODUCT AND OUR WEBSITE MAY CONTAIN INFORMATION THAT INCLUDES OR IS BASED UPON FORWARD-LOOKING STATEMENTS WITHIN THE MEANING OF THE SECURITIES LITIGATION REFORM ACT OF 1995. - ANY AND ALL FORWARD LOOKING STATEMENTS HERE OR ON ANY OF OUR SALES MATERIAL ARE INTENDED TO EXPRESS OUR OPINION OF EARNINGS POTENTIAL. MANY FACTORS WILL BE IMPORTANT IN DETERMINING YOUR ACTUAL RESULTS AND NO GUARANTEES ARE MADE THAT YOU WILL ACHIEVE RESULTS SIMILAR TO OURS OR ANYBODY ELSE'S, IN FACT NO GUARANTEES ARE MADE THAT YOU WILL ACHIEVE ANY RESULTS FROM OUR IDEAS AND TECHNIQUES IN OUR MATERIAL.
3. Registration
- To use certain features of the Site, you must register with elfkar.residon.com on the form provided. You agree
- to provide true, accurate, current and complete information about yourself as prompted by the Site's registration form, and
- to maintain and promptly update the information you provide to keep it true, accurate, current and complete.

- If Service Provider has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Service Provider has the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).
- Service Provider reserves the right to monitor any activities of registered Affiliates to prevent possible abuse.
- Service Provider can (at his sole discretion and without prior warning) terminate accounts or otherwise limit functionality and Service access for Affiliates maintaining more than one account or otherwise abusing Services of this Site.
- Our use of any personally identifying information you provide to us as part of the registration process is governed by the terms of our Privacy Policy.
4. Affiliate Store
- Service Provider agrees to create, host, and maintain an Affiliate Store with unique URL for each Affiliate who submits a complete Registration Form, complies and agrees with this Agreement, and our Terms Of Service.
- Service Provider agrees to replace links to products and services presented on Affiliate Store (such as those provided by ClickBank e-commerce system, Google Adsense, Amazon Associates Program) with affiliate links using Affiliate's registered ID's for respective services wherever possible, according to Affiliate's account level. Account levels (as described on this page) are subject to change without prior notice.
- Service Provider reserves the right to change desing and functionality, or otherwise modify Affiliate Stores at any time.
- Service Provider reserves the right to place advertisements and promotions in banners, popups, emails and other methods that may not generate commissions for Affiliate Store licensors.
5. Commissions And Payments
- Service Provider agrees to pay you commissions from completed sales of Affiliate Store Paid Services referred by you through qualified Affiliate links. Payments of the applicable commissions are processed and sent within the framework of eSellerate's Affiliate Program Policy.
- Service Provider reserves the right to change prices and affiliate commissions of Affiliate Store Paid Services at any time.
- Payments for the applicable commissions from sales of products provided by ClickBank are processed and sent within the framework of ClickBank's Accounting Policy.
- Payments for the applicable commissions from sales of products provided by Amazon.com are processed and sent within the framework of Amazon's Operating Agreement.
- Payments for the applicable earnings from Google Adsense program are processed and sent within the framework of Google Adsense Terms And Conditions.
- You agree that we make no claims regarding the amount of revenue an Affiliate Store will make. Any information listed on the site is classified as advertorial material.
6. Customers
- Customers who purchase Affiliate Store Paid Services through the Affiliate Program will be deemed to be customers of Service Provider. Accordingly, all rules, policies, and operating procedures concerning customer orders and service will apply to those customers. We may change our policies and operating procedures at any time. Prices and availability of our products and services may vary from time to time. Service Provider's policies will always determine the price paid by the customer.
7. Qualifying Sites
- Service Provider reserves the right not to accept any site into the Affiliate Program based on site content. Sites that Do Not Qualify for the Affiliate Program include sites which:
- Promote sexually explicit materials
- Promote violence
- Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
- Promote illegal activities
- Violate intellectual property rights
8. Unsolicited Commercial Email or SPAM
- Service Provider in no way participates in mass unsolicited emailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. We have a strict policy against spam. Under no circumstances may the Affiliate Store be promoted by unsolicited email. Violation of this policy will result in the termination of this contract and immediate dismissal from the Affiliate Program, with no refund.
9. Relationship of Parties
- You and Service Provider are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on Service Provider's behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.
10. Term and Termination
- The term of this Agreement will begin when you accept and will end when terminated by either party. Either Service Provider or you may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, all licenses granted hereunder shall immediately terminate and you will immediately cease use of, and remove from Affiliate's web site, all links to the Site, and all Service Provider's trademarks and logos, other marks and all other materials provided in connection with this Agreement.
- We may reject your application or terminate you if we determine (in our sole discretion) that your site is unsuitable for the Affiliate Program for any reason, including, harmful, threatening, defamatory, obscene, sexually explicit harassing, or racially, ethically, or otherwise objectionable, such as sites that:
- Promote sexually explicit materials;
- Promote violence;
- Promote discrimination based on sex, religion, nationality, disability, sexual orientation, or age;
- Promote illegal activities; or
- Infringe or otherwise violate any copyright, trademark, or other intellectual property rights.
- Infringe or otherwise violate any of the terms of this agreement.
11. Assignment
- You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns.
12. Miscellaneous
- Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
- If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.
- By signing up with ClickBank and/or eSellerate, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
- Information and services provided at internet domain elfkar.residon.com are provided "AS IS" without warranty of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- You agree that you do not have access to the raw html, asp, vb, javascript or other code within the site. Your Affiliate Store is fully managed by Service Provider' and you do not have access and are not allowed to make changes or modify your Affiliate Store in any way.
- Service Provider is not responsible in connection with any failure or deficiency of Web Site Availability caused by or associated with:
- circumstances beyond Service Provider's reasonable control, including, without limitation, acts of any governmental body, war, insurrection, sabotage, armed conflict, embargo, fire, flood, strike or other labor disturbance, interruption of or delay in transportation, unavailability of or interruption or delay in telecommunications or third party services, virus attacks or hackers, failure of third party software (including, without limitation, ecommerce software, payment gateways, chat, statistics or free scripts) or inability to obtain raw materials, supplies, or power used in or equipment needed for provision of this Agreement;
- failure of access circuits to the Site;
- scheduled maintenance and emergency maintenance and upgrades;
- DNS issues outside the direct control of Service Provider;
- issues with FTP, POP, IMAP, or SMTP customer access;
- customer's acts or omissions (or acts or omissions of others engaged or authorized by customer), including, without limitation, custom scripting or coding (e.g., CGI, Perl, HTML, ASP, etc), any negligence, or willful misconduct.
